1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”, “Agreement”) govern access to and use of the website https://careerkeysolutions.in, and all recruitment, executive search, staffing, HR consulting, HR compliance, and career development services (collectively, the “Services”) offered by CareerKey Solutions (Unit Of InfoGlobal), a human capital consultancy operating as a unit of InfoGlobal (“Company”, “CareerKey Solutions”, “we”, “our”, “us”).

These Terms apply to every person, employer, corporate client, candidate, job seeker, or visitor (“User”, “you”, “your”) who accesses our website, submits a resume or job requisition, communicates with our team, or otherwise engages with our Services, regardless of channel — website, email, telephone, LinkedIn, WhatsApp, client portals, or any other official communication channel.

By accessing the website, submitting an enquiry or resume, requesting a proposal, or engaging CareerKey Solutions for any Service, you confirm that you have read, understood, and agree to be legally bound by these Terms, in accordance with the Indian Contract Act, 1872. If you do not agree, you must immediately discontinue use of the website and Services.

We may revise these Terms at any time to reflect changes in law, regulation, technology, or business practice. Updated Terms take effect upon publication on this website. Continued use of the Services after such publication constitutes acceptance of the revised Terms.

2. Formation of Agreement

A binding relationship between you and CareerKey Solutions is formed when you:

  • provide complete, accurate, and timely job requisitions, including role specifications, compensation bands, and evaluation criteria;

  • comply with applicable labour laws in respect of any candidate placed, including statutory obligations relating to wages, provident fund, ESIC, and workplace conditions;
  • ensure that job descriptions and hiring criteria do not violate applicable anti-discrimination or labour law;
  • honour agreed Service Level Agreements (SLAs), payment schedules, and replacement/guarantee terms specified in the applicable proposal or MSA.

CareerKey Solutions shall not be responsible for delays or unsuccessful placements resulting from incomplete requisitions, delayed approvals, unreasonable role requirements, or non-cooperation by the Client.

8.1 Service Requests and Engagement Formation

Enquiries, proposals, and quotations are expressions of interest and do not create a binding obligation until formally accepted through a signed proposal, MSA, purchase order, or advance payment, as applicable. CareerKey Solutions reserves the right to decline any engagement that conflicts with applicable law, ethical standards, or our operational capacity.

9. Service Fees, Billing, Refunds, and Cancellation

9.1 Fees and Payment

Service fees (retainer, success-fee, subscription, or milestone-based, as applicable) shall be as specified in the applicable proposal, quotation, or MSA. Clients agree to make payments per the agreed schedule. Late or non-payment may result in suspension of active search assignments, withholding of candidate shortlists/Deliverables, or termination of the engagement.

9.2 Taxes

All fees are exclusive of applicable taxes (including GST) unless stated otherwise, and Clients are responsible for such statutory charges.

9.3 Refunds and Cancellation

Given the customized, labour-intensive nature of executive search, recruitment, and consulting engagements, fees for work already performed (sourcing, screening, shortlisting, consulting hours delivered, compliance audits completed) are generally non-refundable once work has commenced.

Where a Client wishes to cancel an engagement, a written cancellation request must be submitted. Any refund, if applicable, shall be assessed at CareerKey Solutions’ sole discretion based on work completed, resources deployed, and expenses incurred, and shall be governed by the specific cancellation terms in the applicable proposal or MSA where one exists.

Candidate-facing paid Services (resume writing, LinkedIn optimization, interview coaching), once delivery has commenced, are similarly non-refundable except where expressly stated in the specific service package terms.

10. Intellectual Property Rights

All intellectual property in the CareerKey Solutions website, proprietary candidate database, sourcing methodologies, assessment frameworks, training materials, branding, logos, and trademarks (including “CareerKey Solutions” and associated marks) remains the exclusive property of CareerKey Solutions (Unit Of InfoGlobal) or its licensors, unless expressly transferred in writing.

  • Users are granted no ownership or licensing rights over our intellectual property beyond the limited access described in Section 6.
  • Candidate resumes, portfolios, and Client-provided materials (job descriptions, branding, company information) remain the property of the party that provided them. By providing such materials, the provider grants CareerKey Solutions a limited, non-exclusive right to use them solely to perform the applicable Service.
  • Final Deliverables (e.g., a candidate shortlist report, compliance audit, or completed resume) may be used by the Client/Candidate for their intended purpose upon full payment, but CareerKey Solutions retains ownership of its underlying methodologies, templates, frameworks, and proprietary tools.
  • Unless a Client requests confidentiality in writing prior to project completion, CareerKey Solutions may reference completed engagements (in generalized, non-confidential form) in its portfolio, case studies, and marketing materials.

Unauthorized reproduction, distribution, or commercial exploitation of our intellectual property may result in termination of Services and legal action.

  • specific salary, offer-acceptance, retention, or performance outcomes for placed Candidates;
  • specific outcomes from resume writing, LinkedIn optimization, or interview coaching Services (such as guaranteed interview calls or job offers).

Our Services may involve third-party platforms (job boards, LinkedIn, ATS software, background-verification agencies, payment gateways). We do not control, and are not responsible for, the availability, policies, algorithms, or data practices of such third-party platforms, or any changes they make without notice.

11.3 “As Available” Basis

The website and Services are provided on an “as available” basis. We do not warrant uninterrupted access, error-free operation, or that the website will be free of technical vulnerabilities, except as expressly agreed in a written engagement.

12. Limitation of Liability

To the maximum extent permitted under applicable law, CareerKey Solutions, its directors, employees, consultants, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to: use of or inability to use the website or Services; delays in candidate placement or project delivery; unsuccessful searches or hires; data loss; third-party platform failures; loss of profits, revenue, or business opportunity; or candidate/employee performance post-placement.

Where liability is established, CareerKey Solutions’ maximum aggregate liability for any claim shall not exceed the amount actually paid by the Client to CareerKey Solutions for the specific engagement giving rise to the claim, unless otherwise required by applicable law.

We shall not be liable for losses arising from inaccurate information provided by a Client or Candidate, misuse of Deliverables, unauthorized modification of our recommendations, or circumstances beyond our reasonable control.

13. Indemnification

You agree to indemnify and hold harmless CareerKey Solutions (Unit Of InfoGlobal), its directors, employees, and affiliates from any claims, damages, liabilities, or legal costs arising from: your violation of these Terms; misuse of the website or Services; inaccurate or fraudulent information you provided (including falsified candidate credentials or misleading job listings); or your violation of applicable law, including labour and employment law, in connection with a placement facilitated by us.

14. Force Majeure

CareerKey Solutions shall not be liable for any delay or failure to perform obligations arising from circumstances beyond our reasonable control, including natural disasters, pandemics, government restrictions, internet or telecommunications failures, cyberattacks, or third-party service interruptions. Obligations shall resume as soon as reasonably practicable once such circumstances are resolved. Force Majeure does not relieve payment obligations for Services already rendered.

15. Suspension and Termination

CareerKey Solutions may suspend or terminate access to Services or an active engagement where necessary due to non-payment, violation of these Terms, fraudulent activity, or legal/compliance risk. Upon termination, the Client/Candidate remains responsible for outstanding payment obligations, and provisions relating to confidentiality, intellectual property, indemnification, and limitation of liability shall survive termination.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. The parties agree to first attempt to resolve any dispute through good-faith discussion. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the courts at Indore, Madhya Pradesh, India.

17. General Provisions

  • Entire Agreement: These Terms, together with any applicable MSA, SLA, proposal, or Privacy Policy, constitute the complete agreement between the parties.
  • Severability: If any provision is held invalid, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: Users may not assign their rights under these Terms without our written consent. CareerKey Solutions may assign these Terms in connection with a merger, acquisition, or restructuring.
